Recent corporate scandals and cases of corporate espionage have focused attention on business ethics. Are these instances of a few unscrupulous individuals or are business managers less ethical? The quest for answers to questions such as this has led to internal scrutiny within the academic community about the way qualifications such as the Masters of Business Administration (MBA) are being taught in business schools. Robert Cooke, who was the Director of the Institute of Business Ethics at DePaul University, has identified fourteen danger signs that an organization that is at risk of unethical behaviour. These are if it:
  • normally emphasizes short-term revenues over long-long considerations routinely ignores or violates internal or professional codes of ethics is unwilling to take an ethical stand when there is a financial cost to the decision creates an internal environment that either discourages ethical behaviour or encourages unethical behaviour usually sends ethical problems to the legal department looks at ethics solely as a public relations tool to enhance its image treats its employees differently than its customers is unfair or arbitrary in its performance-appraisal standards

    It enables participants to advance their thinking in a safe environment, protected from external observation where current position, status or background may otherwise influence freedom of expression. The Forum is an informal group of past participants in the seminars with diverse experience in business and not for profit organisations who donate their time and skill to organising the seminar programmes and to advancing discussion of the issues raised. The group is led by the Revd Canon Dr Peter Sills, Vice Dean of Ely.

The Fourth Annual Business Ethics Case Competition will be held April 15-22, 2008. This competition provides students a chance to test their skills while assessing and responding to current business ethics and social responsibility issues. Who may participate: Teams of undergraduate students in the College of Management, as well as any student enrolled in PHI 214. Students teams must have at least two and no more than five members.

The Integritas Institute for Business and Professional Ethics is a program which operates under the auspices of the John Paul II Newman Center and in cooperation with the UIC College of Business. This Code of Business Conduct and Ethics has been adopted by Benihana Inc. (the “Company”) and is intended to qualify as a Code of Ethics under Section 406 of the Sarbanes-Oxley Act 2002. It establishes the standards of business conduct and ethics to be observed by the Company’s executives and directors.
1. Compliance with Law and Ethical Behavior
All executives and directors of the Company shall observe and comply with all Federal and State laws and regulations (and those of any foreign jurisdiction), which apply to the Company or its business and observe the highest ethical standards.
Legal compliance includes, without limitation, compliance with the "insider trading" prohibitions applicable to the Company and its executives and directors. The Company’s policies with respect to trading in the Company’s securities and “insider trading” are detailed in the Company’s “Securities Trading Policy of Benihana Inc.” publication dated March 2003 which is attached as Appendix A.
If any executive or director of the Company has a question as to the applicability or requirements of any law or regulation as it may affect him or her or the Company, any such question should be directed to the Chairman of the Board of Directors of the Company (“CEO”) in writing, who will undertake to provide an answer.
